1. Agreement to Terms

These Terms govern your access to and use of The CEO Switch website, program, and all related services ("Services") provided by Carin Kilby Clark and Time to Thrive, LLC ("Company," "we," "us").

By accessing our website, booking a Gameplan Call, or enrolling in the program, you agree to be bound by these Terms.

2. Description of Services

The CEO Switch is a 90-day done-with-you business infrastructure build for established female coaches and consultants, including:

  • The Audit Layer: Complete operational audit mapping manual touchpoints, revenue leaks, and time consumption — delivered as a Priority Roadmap.

  • The Acquisition Engine: Facebook Ads strategy, creative development, landing page optimization, and campaign launch for predictable lead flow.

  • The Response System: AI-powered lead response and appointment setting — automatic lead qualification and calendar booking, 24/7.

  • The Delivery Layer: Automated client onboarding, AI call transcription, workflow documentation, and a 12-week AI-powered content engine.

  • Implementation Support: 12 weeks of async Voxer support.

  • Sales Support: AI call transcriber setup, sales call analysis, and close-rate feedback.

3. SMS and Automated Communications — A2P Compliance

  • Message and data rates may apply. Message frequency varies.

  • Opt out at any time by replying STOP to any message.

  • For help, reply HELP or email [email protected].

  • Carriers are not liable for delayed or undelivered messages.

  • No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

  • SMS opt-in data and consent will not be shared with any third parties.

4. Client Responsibilities

  • Provide accurate business information and access to required platforms (CRM, ad accounts, calendar).

  • Actively engage with async Voxer support.

  • Implement agreed-upon systems and workflows within the 90-day program window.

  • Maintain ad spend as agreed upon for the Acquisition Engine to function.

  • Respond to Time to Thrive, LLC within 2 business days for optimization requests

  • Comply with all applicable laws, including TCPA and CAN-SPAM.

5. Results Disclaimer

Any case studies, testimonials, or performance references are illustrative and do not guarantee specific outcomes. Results depend on individual effort, market conditions, business stage, and implementation quality. Time to Thrive, LLC makes no representations about specific revenue outcomes beyond those explicitly written in your individual service agreement.

6. Intellectual Property

All intellectual property in the CEO Switch Framework — including the 4-stage model, workflow designs, AI configurations, automation sequences, content templates, and program materials — is and remains the exclusive property of Time to Thrive, LLC. Client receives a non-exclusive, non-transferable license to use these assets for their own business during and after the program.

7. Fees and Payment

Fees, billing frequency, payment plan terms, and any applicable minimum commitments are outlined in your individual service agreement. Enrollment in the CEO Switch program constitutes a non-cancellable agreement. Payment plans are binding for the full program investment regardless of participation. 8. Limitation of Liability

To the maximum extent permitted by law, Time to Thrive, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed the fees paid by Client in the 12 months preceding the event giving rise to the claim.

9. Termination

Either party may terminate for material breach not cured within 10 business days of written notice. Termination obligations are outlined in your individual service agreement.

10. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia. Disputes shall be resolved through the courts sitting in and for the county of Loudoun, Virginia, and both parties consent to the exclusive jurisdiction of those courts.

11. Changes to These Terms

Time to Thrive, LLC reserves the right to update these Terms from time to time. Material changes will be posted here with an updated date. Continued use constitutes acceptance.
